Welcome to Tably, a digital QR menu platform designed to help restaurants, cafes, bars, and other food service businesses create and manage digital menus. These Terms of Service ("Terms") govern your access to and use of Tably's services, website, and mobile applications.

By creating an account, accessing, or using Tably, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Acceptance of Terms

By accessing or using Tably, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Tably.

You must be at least 18 years old to use Tably. If you are using Tably on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Service

Tably provides a digital platform that allows restaurants and food service businesses to:

Create and manage digital menus with categories, items, descriptions, and prices
Generate QR codes for easy customer access to menus
Upload and manage menu item images
Track menu analytics and customer interactions
Manage restaurant information and settings

Tably reserves the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice.

3. User Accounts and Registration

To use Tably, you must create an account by providing accurate, current, and complete information. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying Tably immediately of any unauthorized use of your account
Ensuring that all information you provide remains accurate and up-to-date

4. Acceptable Use

You agree to use Tably only for lawful purposes and in accordance with these Terms. You agree not to:

Use the service for any illegal or unauthorized purpose
Upload content that infringes on intellectual property rights
Upload content that is defamatory, obscene, or harmful
Attempt to gain unauthorized access to Tably's systems or other user accounts
Interfere with or disrupt the service or servers
Use automated systems to access the service without permission
Resell or redistribute the service without authorization

5. Content and Intellectual Property

You retain ownership of all content you upload to Tably, including menu items, descriptions, images, and other materials. By uploading content, you grant Tably a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content solely for the purpose of providing the service.

Tably's platform, including its design, features, and functionality, is owned by Tably and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of Tably's platform without express written permission.

6. Payment and Subscription

Tably offers both free and paid subscription plans. By subscribing to a paid plan, you agree to:

Pay all fees associated with your subscription
Provide accurate payment information
Authorize Tably to charge your payment method for subscription fees
Understand that subscription fees are non-refundable except as required by law

Subscription fees are charged in advance on a monthly or annual basis. You may cancel your subscription at any time, and your access will continue until the end of your current billing period.

7. Data and Privacy

Your use of Tably is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using Tably, you consent to the collection and use of your information as described in our Privacy Policy.

8. Service Availability

While we strive to provide reliable service, Tably does not guarantee that the service will be available at all times or free from errors, interruptions, or security issues. We reserve the right to perform maintenance, updates, or modifications that may temporarily affect service availability.

9. Limitation of Liability

To the maximum extent permitted by law, Tably shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the service.

Tably's total liability for any claims arising from your use of the service shall not exceed the amount you paid to Tably in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tably and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the service
Your violation of these Terms
Your violation of any rights of another party
Content you upload to Tably

11. Termination

Tably may suspend or terminate your account and access to the service at any time, with or without cause or notice, for any reason including, but not limited to, breach of these Terms.

Upon termination, your right to use the service will immediately cease. You may terminate your account at any time by contacting our support team.

12. Changes to Terms

Tably reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of Tably after such changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Mongolia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Mongolia.
